Terms of Service

1. Acceptance of Terms

By creating an account or using SyncInOrder ("Service", "Platform", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms. If you do not agree, do not use the Service.

2. Description of Service

SyncInOrder is a multi-channel order management platform for Indian e-commerce sellers. The Service includes order synchronisation from marketplaces (Shopify, Amazon, Flipkart, Meesho), RTO risk prediction, settlement reconciliation, GST export tools, and related features. Features available to you depend on the subscription plan you have selected.

3. Eligibility

You must be at least 18 years old and legally capable of entering into contracts under Indian law to use this Service. The Service is intended for businesses registered or operating in India.

4. Account Registration

You must provide accurate and complete information when creating an account, including your business name, GST number (if applicable), and contact details. You are responsible for:

• Keeping your password confidential.
• All activity that occurs under your account.
• Notifying us immediately at hello@syncinorder.com if you suspect unauthorised access.

5. Subscriptions and Payment

SyncInOrder offers a free trial period followed by paid subscription plans. Subscription fees are billed in Indian Rupees (INR) and are non-refundable except as required by applicable law. Payments are processed through Razorpay. By subscribing, you authorise us to charge your selected payment method on a recurring basis.

We reserve the right to modify pricing with 30 days' advance notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

6. Free Trial

New accounts receive a free trial as described during signup. At the end of the trial, access to paid features will be suspended unless you subscribe to a paid plan. We do not charge your payment method during the trial period.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any marketplace's terms of service.
• Attempt to gain unauthorised access to any part of the Service or its infrastructure.
• Reverse-engineer, decompile, or disassemble any part of the Service.
• Use the Service to transmit spam, malware, or other harmful content.
• Resell or sublicense access to the Service without our written consent.
• Scrape or harvest data from the Service beyond what is provided through our documented APIs.

8. Third-Party Integrations

The Service integrates with third-party platforms including Shopify, Amazon, Flipkart, Meesho, Razorpay, and MSG91. Your use of those platforms is governed by their respective terms of service. We are not responsible for the availability, accuracy, or conduct of those third-party services. By connecting a marketplace account, you authorise us to access and process your data from that marketplace on your behalf.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You retain ownership of your business data. By using the Service, you grant us a limited licence to process your data solely to provide and improve the Service.

10. Intellectual Property

All software, designs, trademarks, and content that form part of the Service are owned by or licensed to SyncInOrder. Nothing in these Terms grants you any right to use our intellectual property other than as necessary to use the Service as described.

11. Service Availability

We aim to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform maintenance, updates, or suspend the Service temporarily without prior notice. We are not liable for losses arising from downtime or data sync delays.

12. Disclaimer of Warranties

The Service is provided "as is" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. RTO risk scores, settlement discrepancy detections, and AI-generated analyses are provided as informational tools only and do not constitute financial or legal advice.

13. Limitation of Liability

To the maximum extent permitted by applicable law, SyncInOrder shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Service, even if we have been advised of the possibility of such damages. Our total aggregate liability shall not exceed the amount you paid to us in the three months preceding the claim.

14. Termination

You may terminate your account at any time by contacting us at hello@syncinorder.com. We may suspend or terminate your account if you violate these Terms, fail to pay subscription fees, or if we discontinue the Service. Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination before deletion, unless earlier deletion is requested.

15. Governing Law and Disputes

These Terms are governed by the laws of India. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in India. We encourage you to contact us first at hello@syncinorder.com to resolve disputes informally.

16. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by displaying a prominent notice in the Service. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
